Employee & Contractor Terms

1. Introduction
These Employee and Contractor Terms and Conditions ("Terms") govern the relationship between Ferges ("Company", "we", "us") and all employees, contractors, and freelancers ("Worker", "you") engaged to provide services to the Company.
By accepting employment or a contract with Ferges, you agree to be bound by these Terms.
2. Employment/Contract Relationship
2.1 Project-Based Work
All work performed for Ferges is project-based and conducted under the Company name. Workers acknowledge that:
- All projects are owned by Ferges
- Work is performed as a representative of Ferges
- All deliverables become property of Ferges upon completion
- Client relationships belong to Ferges, not individual workers
2.2 Contractor Status
Unless explicitly stated otherwise in a separate employment agreement, all workers are engaged as independent contractors. This means:
- You are responsible for your own taxes and insurance
- You are not entitled to employee benefits unless specified
- You maintain flexibility in work hours and location
- You may work with other clients, provided there is no conflict of interest
3. Intellectual Property
3.1 Work Product Ownership
All work product, including but not limited to video edits, graphics, designs, scripts, strategies, and any other deliverables created during your engagement with Ferges, are the exclusive property of Ferges.
3.2 Assignment of Rights
You hereby assign to Ferges all rights, title, and interest in any work product created during your engagement, including all intellectual property rights, copyrights, and moral rights.
3.3 Portfolio Use
You may include work created for Ferges in your personal portfolio only with prior written permission from the Company. When permission is granted, you must credit Ferges appropriately.
4. Confidentiality
4.1 Confidential Information
You agree to maintain strict confidentiality regarding:
- Client information and project details
- Company business strategies and operations
- Pricing, rates, and financial information
- Proprietary processes and workflows
- Any information marked as confidential
4.2 Non-Disclosure
This confidentiality obligation continues indefinitely, even after termination of your engagement with Ferges.
5. Non-Compete and Non-Solicitation
5.1 Client Non-Solicitation
During your engagement and for 12 months after termination, you agree not to:
- Directly solicit or accept work from Ferges clients
- Encourage Ferges clients to reduce or terminate their relationship with the Company
- Disclose client contact information to third parties
5.2 Employee Non-Solicitation
You agree not to recruit, solicit, or hire other Ferges workers for 12 months after termination of your engagement.
6. Payment and Compensation
6.1 Payment Terms
Payment terms will be specified in your individual contract or project agreement. Standard terms include:
- Payment upon project completion or milestone achievement
- Net 15-30 days payment terms
- Payment via agreed method (bank transfer, PayPal, etc.)
6.2 Invoicing
Contractors must submit proper invoices for payment. Invoices should include project details, hours worked (if applicable), and agreed rates.
7. Quality Standards
7.1 Professional Standards
All work must meet Ferges' quality standards and brand guidelines. You agree to:
- Deliver work that meets professional industry standards
- Follow Ferges' style guides and workflows
- Accept and implement feedback and revisions
- Meet agreed deadlines and milestones
7.2 Revisions
You agree to provide reasonable revisions as requested by Ferges or clients, within the scope of the original project agreement.
8. Termination
8.1 Termination Rights
Either party may terminate the relationship with written notice as specified in the individual contract. Typical notice periods are 14-30 days.
8.2 Immediate Termination
Ferges reserves the right to terminate immediately for:
- Breach of confidentiality
- Poor quality work or missed deadlines
- Violation of these Terms
- Unprofessional conduct
- Conflict of interest
8.3 Post-Termination Obligations
Upon termination, you must:
- Return all Company property and materials
- Delete all confidential information from personal devices
- Complete any ongoing projects or arrange proper handover
- Continue to honor confidentiality and non-compete obligations
9. Liability and Indemnification
9.1 Professional Liability
You are responsible for the quality and accuracy of your work. You agree to indemnify Ferges against any claims arising from errors or omissions in your work.
9.2 Limitation of Liability
Ferges' liability to you is limited to the compensation owed for completed work. We are not liable for indirect, consequential, or punitive damages.
10. General Provisions
10.1 Amendments
Ferges reserves the right to update these Terms at any time. Continued engagement after changes constitutes acceptance of the new Terms.
10.2 Governing Law
These Terms are governed by the laws of the jurisdiction where Ferges operates. Any disputes will be resolved through arbitration.
10.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.
10.4 Entire Agreement
These Terms, together with your individual contract, constitute the entire agreement between you and Ferges.
